2. Pitch Submissions

2.1 Ownership of Materials

You retain full ownership of all intellectual property contained in your Submission. By submitting materials, you grant Fluxa Ventures a limited, non-exclusive, non-transferable license to review, evaluate, and internally discuss your Submission solely for the purpose of assessing a potential investment or partnership.

2.2 No Obligation

Submitting a pitch does not create any obligation on the part of Fluxa Ventures to invest, partner, respond, or enter into any agreement. We review all submissions but are under no obligation to provide feedback, return materials, or explain our evaluation decisions.

2.3 Confidentiality

We will treat your Submission with reasonable care and will not intentionally share your pitch deck or business materials with external third parties without your prior written consent. However, we cannot guarantee that information you submit will remain confidential. You should not include trade secrets or highly sensitive proprietary information in your initial submission. If due diligence progresses, a separate non-disclosure agreement (NDA) will be negotiated.

2.4 Similar Concepts

Fluxa Ventures evaluates numerous submissions and may be working on, investing in, or have previously encountered ideas similar to yours. Submitting a pitch does not restrict Fluxa Ventures from pursuing, investing in, or developing similar concepts, products, or services independently or with other parties.

2.5 Data Retention

Submitted materials may be retained for up to 24 months for internal reference. You may request deletion of your Submission at any time by emailing privacy@fluxa.ventures. Upon request, we will delete your materials within 30 business days.

3. Your Representations

By submitting a pitch, you represent and warrant that:

• -You have the legal right and authority to submit the materials provided.
• -The information in your Submission is accurate and not misleading.
• -Your Submission does not infringe on the intellectual property rights of any third party.
• -You are at least 18 years of age.

4. Website Use

You agree not to:

• -Use the website for any unlawful purpose or in violation of any applicable laws.
• -Attempt to gain unauthorized access to our systems or infrastructure.
• -Submit false, fraudulent, or misleading information.
• -Scrape, crawl, or use automated tools to access the website without our written permission.

You agree to indemnify and hold harmless Fluxa Ventures and its partners, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the website, your Submissions, or your violation of these Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in King County, Washington.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the website after changes constitutes acceptance of the revised Terms.
